Terms of Use

Intra provides staffing, recruitment, workforce, educational, administrative, technology, and related services to individuals and organizations.

Our services may include websites, online applications, staffing platforms, worker and client portals, forms, communication systems, scheduling tools, document submission systems, and other digital services.

These Terms apply to all Intra-operated websites and platforms unless a different set of terms is expressly provided for a particular service.

Certain services provided by Intra may be governed by additional agreements, policies, consent forms, employment agreements, independent contractor agreements, client service agreements, placement agreements, or other terms.

Where you have entered into a separate written agreement with Intra, that agreement will continue to apply.

If there is a conflict between these Terms and a separate written agreement governing a specific Intra service, the separate agreement will govern with respect to that service.

You may only use our services if you have the legal capacity to do so.

If you access or use an Intra service on behalf of a business, childcare centre, institution, organization, or other entity, you represent that you are authorized to act on behalf of that entity.

You are responsible for ensuring that your use of Intra's services complies with any laws, professional requirements, workplace policies, contractual obligations, or other requirements applicable to you.

Some Intra services may require you to create an account.

You agree to:

• Provide accurate and complete account information
• Keep your information reasonably current
• Maintain the confidentiality of your login credentials
• Use reasonable measures to prevent unauthorized access to your account
• Notify Intra if you become aware of unauthorized access or suspected account compromise

You are responsible for activity conducted through your account except where otherwise required by law.

You may not share an account where the account is intended for individual use or allow another person to impersonate you.

Intra may establish different account types, permissions, and levels of access depending on the user's role.

You are responsible for information you submit to Intra.

You agree that information provided through an application, profile, account, form, document upload, or other submission will, to the best of your knowledge, be accurate, complete, authentic, and not misleading.

This may include information concerning:

• Identity and contact information
• Employment history
• Education
• Work experience
• Professional qualifications
• Licences and registrations
• Certifications
• References
• Availability
• Work eligibility
• Background screening
• First Aid and CPR certification
• Immunization or other required documentation
• Other qualifications or compliance requirements

Intra may request additional information or documentation where reasonably necessary to verify information you have provided.

Submitting an application, creating an account, completing an interview, or providing documentation does not guarantee employment, contract work, placement, admission to a program, an interview, or any other opportunity.

Intra may accept or decline applications and determine eligibility for its services subject to applicable law and any applicable agreements.

Our services may allow you to upload documents, images, files, written information, feedback, comments, or other materials ("User Content").

You retain any ownership rights you may have in your User Content.

By submitting User Content to Intra, you authorize us to store, process, reproduce, transmit, review, and use that content to the extent reasonably necessary to provide our services, administer our relationship with you, comply with our obligations, and carry out the purposes for which the information was submitted.

You represent that you have the right to provide the User Content you submit and that your submission does not unlawfully infringe the rights of another person.

You should not provide personal information about another individual unless you are authorized to do so.

Our collection and handling of personal information is further described in our Privacy Policy.

Intra may display, communicate, arrange, or facilitate staffing opportunities, shifts, placements, interviews, or other work opportunities.

Availability of an opportunity does not guarantee that it will remain available or that a particular person will be selected.

Shift information, schedules, locations, requirements, compensation, and other details may change where permitted by the applicable agreement or circumstances.

Workers are responsible for reviewing the details and requirements associated with assignments they accept.

Clients are responsible for providing accurate information concerning their staffing requirements, work locations, schedules, responsibilities, and other information reasonably necessary for Intra to coordinate services.

The use of an Intra website or platform by itself does not create an employment, independent contractor, partnership, agency, joint venture, or other legal relationship. Any such relationship will be governed by the applicable agreement between the relevant parties.

Clients and their authorized representatives may use Intra services to perform functions such as:

• Submit staffing requests
• Manage shifts or assignments
• Review staffing information
• Communicate with Intra
• Provide feedback
• Confirm or adjust information
• Review documents where access is authorized
• Manage other aspects of their Intra services

Clients are responsible for ensuring that individuals accessing an Intra account or platform on their behalf are authorized to do so.

Information obtained through Intra about workers, applicants, clients, or other users must not be used for unauthorized purposes.

You agree to use Intra's services only for lawful and legitimate purposes.

You may not:

• Provide false, fraudulent, misleading, or deceptive information
• Impersonate another person or organization
• Access another person's account without authorization
• Attempt to gain unauthorized access to any system, account, database, network, or information
• Circumvent authentication, permissions, security measures, or access restrictions
• Interfere with the operation or security of an Intra service
• Introduce malware, malicious code, or harmful software
• Use automated tools to scrape, harvest, copy, or extract information without authorization
• Probe, scan, or test the vulnerability of Intra systems without authorization
• Reverse engineer or attempt to derive source code from proprietary Intra technology except where such restriction is prohibited by law
• Use Intra services to harass, threaten, discriminate against, defraud, or harm another person
• Upload content that is unlawful, malicious, defamatory, fraudulent, or infringing
• Collect or use another person's personal information without appropriate authority
• Use information obtained through Intra for unauthorized solicitation or marketing
• Use Intra's services in a way that could damage, disable, overload, or impair our systems
• Assist another person in engaging in prohibited conduct

Intra may investigate suspected misuse and take appropriate action.

Unless otherwise stated, Intra and its licensors own or have rights to the websites, platforms, technology, software, databases, designs, graphics, branding, logos, text, layouts, interfaces, and other content made available through Intra services.

These materials are protected by applicable intellectual property laws.

Subject to these Terms, Intra grants you a limited, revocable, non-exclusive, non-transferable right to access and use our services for their intended purposes.

You may not reproduce, modify, distribute, sell, license, publish, commercially exploit, or create derivative works from Intra-owned content except with our authorization or as permitted by law.

"Intra", associated logos, branding, and other Intra marks may not be used in a manner that suggests endorsement, partnership, or affiliation without our permission.

If you provide suggestions, ideas, comments, or feedback about an Intra website, platform, or service, you agree that Intra may use that feedback to evaluate, develop, or improve its services without an obligation to compensate you.

This does not include personal information contained in feedback, which remains subject to our Privacy Policy and applicable law.

Intra may use or integrate with third-party products and services, including services relating to hosting, communications, authentication, file storage, payments, recruitment, scheduling, analytics, or other business functions.

Our websites and platforms may also contain links to third-party websites or services.

Third-party services are governed by their own terms and policies. Intra does not control and is not responsible for the content, availability, privacy practices, security, or operation of independent third-party services.

The inclusion of a link or integration does not necessarily constitute an endorsement of the third party.

By providing contact information to Intra, you authorize us to use that information to communicate with you regarding your account, applications, documentation, staffing requests, shifts, interviews, services, security, administrative matters, and other aspects of your relationship with Intra.

Depending on the service, communications may occur through email, telephone, text message, platform notifications, or other communication methods.

Marketing and promotional communications are subject to applicable requirements and any available unsubscribe options.

You are responsible for maintaining accurate contact information where timely communications are important to the service you receive.

Certain Intra services may allow actions, submissions, confirmations, approvals, agreements, or other transactions to occur electronically.

You agree that your electronic actions may be used to indicate your instructions, acknowledgement, authorization, consent, or agreement where appropriate.

You are responsible for reviewing information before submitting or confirming an electronic transaction.

We work to maintain reliable services, but we do not guarantee that any website, platform, feature, or service will always be available, uninterrupted, secure, or error-free.

Services may occasionally be unavailable because of:

• Maintenance
• Updates
• Technical problems
• Internet or telecommunications failures
• Third-party service interruptions
• Security measures
• Events outside our reasonable control

Intra may modify, add, remove, suspend, or discontinue features or services where reasonably necessary.

Where a change materially affects a separately contracted service, the applicable agreement will govern.

We take reasonable steps to provide accurate information, but information displayed through Intra services may occasionally contain errors, omissions, outdated information, or technical inaccuracies.

You should verify information that is important to a decision you are making.

Content made available on our public websites is generally provided for informational purposes and should not be treated as legal, medical, financial, regulatory, or other professional advice unless expressly stated otherwise.

Your privacy is important to us.

Our collection, use, disclosure, storage, and protection of personal information is described in our Privacy Policy, which forms part of the framework governing your use of Intra services.

Where a particular service requires additional consent concerning personal information or documentation, that consent may be requested separately.

Intra may restrict, suspend, or terminate access to an account or service where reasonably necessary, including where:

• These Terms are materially violated
• Information provided is fraudulent or materially misleading
• An account presents a security risk
• Unauthorized access or misuse is suspected
• Continued access could harm Intra, a client, worker, user, or third party
• Access is no longer required or authorized
• We are required to do so by law
• A separate agreement permits or requires termination

Termination of access to a website or platform does not automatically terminate rights or obligations arising under a separate agreement.

Provisions that by their nature are intended to survive termination will continue to apply.

To the fullest extent permitted by applicable law, Intra's websites and digital services are provided on an "as is" and "as available" basis.

Except for warranties that cannot lawfully be excluded, Intra makes no representation or warranty that:

• A service will always be available or uninterrupted
• A service will be free from errors or security vulnerabilities
• Information will always be complete or current
• Use of a service will result in employment, placement, staffing coverage, admission, revenue, or any particular outcome
• Every user, applicant, worker, client, or third party will perform as expected

Nothing in these Terms excludes any warranty, condition, right, or remedy that cannot legally be excluded.

To the fullest extent permitted by applicable law, Intra and its directors, officers, employees, representatives, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of, or inability to use, an Intra website or digital service.

This may include loss of data, revenue, opportunity, goodwill, or business interruption.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

Any liability arising under a separate client, employment, contractor, staffing, placement, or other agreement will be governed by the terms of that agreement.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Intra and its directors, officers, employees, and representatives from claims, losses, liabilities, damages, and reasonable costs arising from:

• Your unlawful use of an Intra service
• Your material violation of these Terms
• Content you submit in violation of another person's rights
• Fraudulent or intentionally misleading information you provide
• Your unauthorized access to or misuse of information obtained through Intra

This section does not apply to the extent a claim results from Intra's own conduct or where indemnification is prohibited by law.

We may update these Terms periodically to reflect changes to our services, technology, business practices, or legal requirements.

The "Last Updated" date at the top of this page identifies the most recent revision.

Updated Terms will be posted through the applicable Intra website or service.

Where required, we may provide additional notice or request your agreement before materially different terms apply.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to any rights that cannot legally be restricted, disputes relating to these Terms or use of Intra's services will be subject to the jurisdiction of the courts of Ontario.

A separate agreement with Intra may specify different dispute resolution, governing law, or jurisdiction provisions, in which case that agreement will govern.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable where possible.

The remaining provisions will continue in effect.

If Intra does not immediately enforce a provision of these Terms, that does not mean Intra has waived the right to enforce it later.

A waiver of one provision or occurrence does not constitute a waiver of another provision or occurrence.

You may not transfer or assign your rights or obligations under these Terms without Intra's consent.

Intra may transfer or assign its rights or obligations in connection with a corporate reorganization, merger, acquisition, sale, financing, or transfer of all or part of its business, subject to applicable law.

These Terms, together with the Privacy Policy and any additional terms expressly applicable to the service you are using, constitute the terms governing your use of Intra's websites and digital services.

Separate contracts entered into between you and Intra remain independently enforceable according to their terms.
